TERMS AND CONDITIONS OF SERVICE CariMu Platform — Premium B2B Digital Marketplace & Showcase

IMPORTANT LEGAL NOTICE TO ALL USERS:
- CariMu is strictly a technology platform and dynamic digital gallery acting as a bridge between service searchers and service/product providers.
- CariMu does not own, sell, resell, distribute, or directly provide any of the products or services showcased on the platform.
- All direct communications, negotiations, and transactions occur externally (primarily via third-party communication links such as WhatsApp Business). CariMu is not a party to, and holds no liability for, any such agreements.
Please read these Terms and Conditions (“Terms”, “Terms of Service”) carefully before downloading, registering, or utilizing the CariMu mobile application and web platform (collectively, the “Platform”) operated by CariMu (“us”, “we”, or “our”).
1. Acceptance of Agreement
By downloading, installing, browsing, or creating an account on the Platform, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms, as well as our Privacy Policy which complies with the Malaysian Personal Data Protection Act 2010 (PDPA). If you do not agree to these Terms, you must immediately cease utilizing the Platform and delete the application from your devices.
2. Definitions
- Platform: The CariMu mobile application, web application, dashboard, and related technology infrastructure.
- User: Any individual, merchant, business entity, or working professional accessing the Platform for any purpose.
- Merchant Provider: A verified or registered corporate user or professional showcasing business profiles, digital catalogs, and service lists.
- Showcase Content: Profiles, catalogs, product descriptions, prices, corporate identity details, text, and imagery uploaded by Merchant Providers.
3. Account Eligibility, Registration, and Security
To access the premium B2B showcase management systems and interact with providers, you must adhere to the following:
- Commercial Capacity: You represent that you possess the capacity to enter legally binding commercial agreements under Malaysian law. Business profiles must correspond to authentic individuals or valid corporate bodies registered with the Companies Commission of Malaysia (SSM) or relevant statutory registration groups.
- Information Accuracy: You agree to provide true, accurate, current, and comprehensive registration data and strictly maintain its currency.
- Credential Confidentiality: You are solely responsible for securing account access configurations. Any transaction or interaction authorized through your account credentials will be deemed executed by you. You must notify us immediately of any unauthorized breach of security or compromise of account credentials.
4. Platform Nature and Role Limitations
Users must explicitly acknowledge and agree to the structural operational parameters of CariMu:
- Showcase Architecture: The Platform acts solely as a minimalist digital showcase gallery allowing professional presentation of services and products. Content hosted does not constitute a formal binding commercial offer by CariMu.
- Third-Party Communication: CariMu integrates interactive protocols allowing direct routing to Merchant Providers via third-party services (e.g., WhatsApp Business API links). Communications, quotations, service terms, payment architectures, and logistical deliveries arranged via these external environments are separate agreements established solely between the searcher and the provider.
- Exclusion of Agency: No joint venture, partnership, employment, or agency relationship exists between CariMu and any Merchant Provider or generic User. We do not endorse, inspect, verify, guarantee, or audit the quality, safety, legality, timeline compliance, or truthfulness of individual merchant offerings.
5. Acceptable Conduct and Content Policies
Merchant Providers and users are exclusively responsible for all digital content transmitted or displayed through their accounts. You warrant that your Showcase Content does not violate any statutory provisions of Malaysia, including but not limited to the Consumer Protection Act 1999 and the Communications and Multimedia Act 1998.
You agree not to upload, post, link, or display content that:
- Is deceptive, fraudulent, inaccurate, or intentionally misleading to businesses or consumers.
- Infringes upon any patent, trademark, trade secret, copyright, or other proprietary rights of any third party.
- Promotes illegal goods, regulated substances without authorized licensing, prohibited gambling activities, or counterfeit items.
- Contains malicious software scripts, viruses, or computational commands designed to disrupt or interrupt the functional runtime environment of the Platform.
6. Intellectual Property Rights
The layout designs, system architectures, graphics, text compilation, code repositories, branding, logos, and proprietary features embedded within the CariMu Platform are the exclusive intellectual property of CariMu and its licensors, protected by the Copyright Act 1987, Trademarks Act 2019, and international intellectual property treaties.
By publishing public catalogues or business profiles on the Platform, the Merchant Provider grants CariMu a non-exclusive, worldwide, royalty-free, sub-licensable, and transferable license to host, parse, cache, display, format, and distribute the content strictly for promotion, optimization, and operation of the B2B gallery services.
7. Personal Data Protection (PDPA Compliance)
Your privacy and the integrity of corporate operational data are high priorities. All collection, systematic processing, distribution, and storage of personal or corporate data acquired via the Platform are managed strictly in accordance with our comprehensive Privacy Policy and the Personal Data Protection Act 2010 (PDPA) of Malaysia.
8. Limitation of Liability
To the maximum extent permitted by applicable laws of Malaysia, CariMu, its directors, employees, software architects, or structural partners shall not be held liable for any indirect, incidental, special, exemplary, punitive, or consequential financial damages. This includes, without limitation, losses regarding revenue, business opportunities, corporate goodwill, transaction data, or operational profits arising out of, or connected with:
- Your use of, or inability to access, the CariMu infrastructure.
- Any transactional friction, breakdown of negotiation, contract failure, or disputes occurring between users and merchants via external communication tools (such as WhatsApp).
- Temporary platform downtime, synchronization latency, or network interruptions caused by backend hosting clusters or telecommunication providers.
The Platform is delivered explicitly on an “AS IS” and “AS AVAILABLE” performance basis, without warranties of any nature, whether expressed or implied.
9. Indemnification
You agree to indemnify, defend, and hold harmless CariMu, its corporate officers, directors, stakeholders, developers, and agents against any legal third-party claims, liabilities, losses, regulatory penalties, court actions, or financial costs (including legal fees on a full indemnity basis) arising from your breach of these Terms, unauthorized content publishing, or any direct violation of Malaysian statutory laws.
10. Account Suspensions and Termination
We reserve the absolute right, at our sole discretion, without liability or mandatory prior notification requirements, to suspend, freeze, or permanently terminate your registered profile and access privileges to the Platform for any reason, including but not limited to:
- Verifiable breaches or structural violations of any clause inside these Terms and Conditions.
- Requests by authorized Malaysian regulatory bodies or law enforcement agencies.
- Prolonged periods of operational account inactivity or fraudulent activities targeting other platform users.
11. Amendments to Terms
CariMu reserves the right to modify, amend, or update these Terms and Conditions at any time to reflect infrastructural enhancements, shifts in regulatory policy, or updated legal practices in Malaysia. When changes occur, the “Effective Date” at the top of the document will be modified. Continued usage of the Platform following the publication of any modifications constitutes full, binding acceptance of the updated terms.
12. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed, construed, and enforced strictly in accordance with the laws of Malaysia. Any conflict, legal disagreement, or claim arising directly or indirectly out of the utilization of the CariMu Platform that cannot be settled amicably via initial internal consultations shall be submitted to the exclusive jurisdiction of the Courts of Malaysia.
